INTRODUCTION

• This Intellectual Property Policy (“Policy”) explains the ownership, protection and permitted use of intellectual property appearing on the website, mobile application, online store, social media pages and other digital platforms operated by Pryolt Private Limited, under the brand name “SYDLENE” (“Company”, “we”, “us” or “our”).
  
  
• SYDLENE respects intellectual property rights and expects its customers, users, business partners and third parties to do the same. This Policy forms part of SYDLENE’s Terms & Conditions and governs the use of all intellectual property belonging to or used by the Company.
  
  

OWNERSHIP OF INTELLECTUAL PROPERTY

1. All intellectual property available on or through the Platform, including but not limited to: the SYDLENE brand name, logos (including “”, “ ”, and “”), trademarks, trade names and brand identifiers; collection names, product names, taglines and slogans; product designs, patterns, artwork, graphics and packaging; photographs, videos, illustrations and other visual content; website design, layout, user interface and overall appearance; written content, product descriptions, marketing materials and edtorial content; software, source code, databases and other technical elements; and any other creative, commercial or proprietary material, is owned by, licensed to, or lawfully used by the Company and is protected under applicable intellectual property laws.
   
   
2. Nothing contained on the Platform shall be interpreted as granting any ownership rights, licence or permission to any User or third party unless expressly authorised by the Company in writing.
   
   

TRADEMARKS AND BRAND USAGE

1. The SYDLENE name, logo, collection names, product names, slogans and other brand elements are valuable intellectual property of the Company.
   
   
2. Users and third parties shall not use, reproduce, modify, imitate, register, copy or exploit any SYDLENE trademark, logo or brand element without the prior written permission of the Company.
   
   
3. Unauthorised use of SYDLENE’s trademarks or branding elements may constitute infringement and may result in appropriate legal action.
   
   
4. PRODUCT IMAGES, CONTENT AND DESIGNS
   
   
5. All Product photographs, campaign images, videos, graphics, descriptions and other creative content displayed on the Platform are created, commissioned, owned or licensed by the Company.
   
   
6. Such content is provided solely for personal and non-commercial use by Customers for viewing Products, placing Orders and interacting with the Platform.
   
   
7. No person may copy, download, reproduce, distribute, modify, publish, sell, display, transmit or commercially exploit such content without prior written consent from the Company.
   
   

LIMITED USER LICENSE

1. Subject to these Terms and this Policy, SYDLENE grants Users a limited, non-exclusive, non-transferable and revocable permission to access and use the Platform solely for personal shopping and informational purposes.
   
   
2. This permission does not include any right to: reproduce or commercially exploit Platform content; create derivative works; use SYDLENE branding for any business purpose; copy Product designs or concepts; remove copyright, trademark or ownership notices; or interfere with intellectual property protection mechanisms.

USER-GENERATED CONTENT

1. Where Users submit reviews, photographs, feedback, testimonials or other content through the Platform, such Users retain ownership of their content.
   
   
2. However, by submitting such content, Users grant SYDLENE a non-exclusive, worldwide, royalty-free right to use, reproduce, display, publish, adapt and distribute such content for operating, marketing and promoting SYDLENE, subject to applicable law and the User-Generated Content Policy.
   
   
3. Users must ensure that any content submitted by them does not infringe the intellectual property rights, privacy rights or other rights of any third party.
   
   

PROHIBITED USE

1. Users and third parties shall not: copy or reproduce SYDLENE’s designs, images, content or branding; use SYDLENE’s trademarks or trade dress without permission; create misleading association with SYDLENE; sell counterfeit products using SYDLENE’s name or branding; reverse engineer, extract or misuse Platform technology; scrape or systematically collect Platform content for commercial purposes; or use Company intellectual property in any unlawful manner.
   
   

THIRD-PARTY INTELLECTUAL PROPERTY

• Certain content, trademarks, logos, images or materials displayed on the Platform may belong to third parties and are used by the Company with appropriate rights or permissions.
  
  
• The Company respects third-party intellectual property rights and expects Users to respect the same.
  
  
• If any person believes that any content appearing on the Platform infringes their intellectual property rights, they may contact the Company with relevant details, including: identification of the intellectual property claimed to be infringed; details of the allegedly infringing content; proof of ownership or authority; contact details; and the requested action.
  
  
• The Company shall review such complaints and take appropriate action where necessary.

ENFORCEMENT OF RIGHTS

1. The Company reserves the right to take appropriate legal or administrative action against any person who infringes, misuses or attempts to misuse SYDLENE’s intellectual property rights.
   
   
2. Any unauthorised use of intellectual property may result in suspension of access to the Platform, removal of content, cancellation of Orders, claims for damages or other remedies available under applicable law.

CHANGES TO THIS POLICY

1. The Company reserves the right to modify or update this Intellectual Property Policy from time to time to reflect changes in business practices, legal requirements or intellectual property protection measures.
   
   
2. Any updated Policy shall be published on the Platform with the revised “Last Updated” date.
